Defining the specification
A specification should state the source chemistry, particle size range, maximum moisture content and the elements that will be assayed. Nickel, cobalt, lithium and manganese are the usual payable elements, while copper, aluminium, iron, fluorine and residual plastics are commonly treated as impurities with limits or penalties. Buyers should also ask whether the material has been thermally pretreated, because that affects organic content, handling characteristics and how the material behaves in leaching.
Chemistry matters enormously. Black mass from nickel-rich cells carries far more payable value than material from LFP cells, so a lot that blends the two is harder to price and may suit fewer refineries. Specifying single-chemistry lots, or at least declaring the blend ratio, avoids disputes and helps both sides model value accurately before the contract is signed rather than after the first assay results arrive.

Sampling, assay and dispute resolution
Because black mass is heterogeneous, the sampling method matters as much as the assay itself. Contracts should state how each lot is homogenised, how many increments are taken, who witnesses sampling and how samples are split between buyer, seller and an umpire laboratory. Assays should name the analytical method, commonly ICP-OES for metals, together with the laboratory accreditation required and the timeframe within which results must be exchanged.
A splitting limit defines how far the buyer's and seller's results may differ before an umpire assay is triggered. The contract should say who pays for the umpire, whether the umpire result is final and how the settlement figure is calculated from the three results. These clauses are rarely exciting to negotiate, but they prevent most of the commercial disputes that otherwise surface weeks after delivery, when relationships are already under pressure.

Pricing, payables and delivery terms
Payable metal is usually calculated as assayed content multiplied by a payable percentage of a reference price. The reference source, the averaging period and the percentage for each element should all be explicit. Lithium pricing is less standardised than nickel or cobalt pricing, so the parties should agree in advance which index or fixed mechanism will apply, and what happens if that index is discontinued or diverges sharply from the market.
Delivery terms should cover packaging, labelling, dangerous goods or waste classification, and the point at which title and risk transfer. Several jurisdictions treat black mass as hazardous waste, which can trigger shipment notifications, permits and financial guarantees. Buyers should confirm that the seller can provide all required documentation before committing to cross-border volumes, because a shipment held at a border can wipe out the margin on an otherwise sound contract.
